This agreement is between Impeccable Motion (“Impeccable Motion”) and the client named above (“Client”).
 

1. Project Scope

Impeccable Motion will provide the video production and creative services described in the accepted proposal, package, estimate, or invoice.

Any work requested outside that agreed scope—including major concept changes, additional versions, additional formats, or additional revisions—may require an additional fee.
 

2. Payment

Payment terms are stated in the applicable proposal or invoice.

Work may begin after any required deposit or initial payment has been received. Final deliverables may be withheld until the project balance is paid in full.
 

3. Revisions

Each individual video/ad deliverable includes two standard revision rounds unless otherwise stated in the accepted proposal. A revision round is one consolidated set of client-requested changes to the approved creative direction. Revision requests must be submitted within 5 business days of receiving each proof. If feedback is not received within that review period, the deliverable may be considered approved and closed unless otherwise agreed. For multi-video and recurring packages, the two revision rounds apply separately to each individual deliverable. Unused revision rounds do not roll over. A substantially new concept, script, message, product, direction, extra version, or revision requested after the review window may be treated as additional work and billed separately.
 

4. Client Materials & Claims

The Client is responsible for providing accurate product information, logos, trademarks, photographs, footage, advertising claims, testimonials, and other materials needed for the project.

The Client represents that it has the right to use materials supplied to Impeccable Motion and is responsible for the accuracy and legality of claims made about its products or services.
 

5. AI-Assisted Production

The Client understands that Impeccable Motion may use artificial intelligence and other digital production tools to create or assist with imagery, video, voice, animation, effects, backgrounds, or other creative elements.

Because laws and platform rules concerning AI-generated content continue to develop, Impeccable Motion does not guarantee copyright registration, exclusivity, or intellectual-property protection for every AI-assisted element.
 

6. Ownership & Usage

After full payment, the Client may use the final approved deliverables for its advertising, website, social media, and other agreed promotional purposes.

Unless specifically included in writing, Impeccable Motion retains ownership of working files, editing timelines, prompts, templates, unused concepts, alternate versions, production methods, and other source materials.

Third-party materials remain subject to their original licenses.
 

7. Portfolio Rights

Unless otherwise agreed in writing before public release, Impeccable Motion may display the completed work in its portfolio, website, social media, advertising, presentations, and promotional materials.
 

8. Cancellation

Either party may cancel the project in writing.

Payments covering work already completed, production already performed, or non-refundable expenses already incurred are non-refundable. Any remaining prepaid amount will be handled according to the amount of work completed at the time of cancellation.
 

9. Schedule

Delivery dates are estimates and may change if the Client delays feedback, approvals, payments, or required materials.

Requests for significant changes may also extend the delivery schedule.
 

10. Advertising Results

Impeccable Motion provides creative services but does not guarantee views, clicks, leads, sales, conversions, revenue, or other advertising results.

Results depend on factors beyond Impeccable Motion’s control, including audience, offer, budget, placement, pricing, competition, and platform algorithms.
 

11. Limitation of Liability

To the extent permitted by law, Impeccable Motion’s total liability relating to the project will not exceed the amount actually paid by the Client for that project.
 

12. Agreement

By signing below, both parties agree to this Client Project Agreement and the project scope and pricing described in the applicable proposal or invoice.

13. Refunds
Because every Impeccable Motion project is custom, the 50% project deposit is non-refundable once received. The remaining balance is due after final approval and before clean, high-resolution final files are delivered. Refunds are not issued for changes of mind, changes in creative preference after an approved direction has been established, client-caused delays, or a decision not to use completed work. If Impeccable Motion is unable to complete the services agreed upon, we will make a reasonable effort to correct the issue and will refund any portion of payment attributable to work not delivered. Once final files have been approved and delivered, all payments are final.
